Airsprung Furniture Group PLC announces that all discussions concerning a
possible offer for the company have come to an end. A potential offeror had
been considering making an offer for the company but, although willing to meet
the board's minimum target price of 100p per share, was unable to secure funding
in the current uncertain climate.
The board is now in discussions with its advisers regarding the ways in which
the company can focus on shareholder value and, particularly, how the company
may return funds to shareholders from its strong balance sheet.
The company has continued to experience very competitive trading conditions.
The main factors affecting profitability are significantly lower levels of
demand at our upholstery business Bymacks, compounded by the disruption to
operations due to the pending relocation of its manufacturing base. In
addition, at Airsprung Beds, the new managing director and his team have been
able to bring forward from next financial year into this financial year, the
major operational restructure, which has incorporated a virtual re-laying of the
Trowbridge factory. The associated costs for this have also been taken in the
current year. The Airsprung Beds restructure is intended to significantly
improve capacity at the bed factory and early indications are most encouraging.
As a consequence, the directors believe that profits for the year ending March
2003 are likely to be lower than those of March 2002. The company expects to
announce its final results for the year ending 31 March 2003 on 30 May 2003.
It is the board's intention that, subject to unforeseen circumstances, the final
dividend should be maintained at last year's level.
