Notification of Directors' and Persons Discharging Managerial Responsibilities' ("PDMRs") Interests pursuant to Disclosure and Transparency Rule DTR 3.1.4R(1)(a).

On 5 July 2010 the proposed acquisition of The BSS Group plc ("BSS") by Travis Perkins plc ("Travis Perkins") was announced, to be carried out by means of a Scheme of Arrangement under Part 26 of the Companies Act 2006 (the "Scheme").

On 10 December 2010, Court sanction of the Scheme was obtained and, as a result, the vesting of awards over shares granted to directors of BSS and PDMRs under the BSS Group plc Performance Share Plan ("PSP") and the exercise of options granted to directors of BSS and PDMRs under the BSS Group plc Approved and Unapproved Share Option Scheme ("SOS") became effective on that date.

As a result of the vesting of awards under the PSP and the exercise of options under the SOS, a total of 1,050,648 additional 5p ordinary shares have been allotted to the directors of BSS and PDMRs in the numbers set out below.

Shares under the PSP were issued at nil cost to the participants. Shares issued to SOS participants were issued at exercise prices of 135.4175 pence per share (June 2003 options) and 175.8325 pence per share (June 2004 options).
