In  accordance  with Disclosure and Transparency Rule 5.6.1, the  Company  would
like to notify the market of the following:

As  at  31  May 2008, Noble Health Fund VCT plc's capital consists of 19,307,784
ordinary  shares  with  voting rights. The Company does not  hold  any  ordinary
shares in Treasury.

Therefore,  the total number of voting rights in Noble Health Fund  VCT  plc  is
19,307,784.

The  above  figure  may  be  used by shareholders as  the  denominator  for  the
calculations  by which they will determine if they are required to notify  their
interest  in, or a change to their interest in, Noble Health Fund VCT plc  under
