Re  : Proposed Year-end Dividend for Period ended March 31, 2005

We hereby advise you that on May 12, 2005, the Board of Directors of Nippon
Telegraph and Telephone Corporation ("NTT") approved a year-end cash dividend of
3,000 Japanese yen per share of NTT's Common Stock, payable to shareholders of
record as of March 31, 2005.   Before this proposed dividend may be paid, it must
be (i) approved by the shareholders of record of NTT as of March 31, 2005, at
the Ordinary General Meeting of Shareholders for the fiscal year ended March 31,
2005, which is scheduled to be held on June 28, 2005, and (ii) approved by the
Minister for Internal Affairs and Communications of Japan.

The year-end dividend is scheduled to be payable on June 29, 2005, subject to
the approval of the Ordinary General Meeting of Shareholders and the Minister
for Internal Affairs Communications, as aforesaid.
