Notice of Annual Meeting 
Further re Proposal to Cancel the Company's Admission to AIM 
Board Changes 
 
 
 
 
Further to the Company's announcement on April 27, 2009, following approval from 
the SEC, UTEK has today filed its definitive proxy statement and notice of the 
2009 Annual Meeting of stockholders. The Annual Meeting will take place on July 
16, 2009 at 9.00 a.m. at the Hilton Garden Inn, 1700 E. 9th Avenue, Tampa, 
Florida 33605. The proxy statement and notice of Annual Meeting will shortly be 
available on the Company's website www.utekcorp.com and will be posted to 
shareholders on June 5, 2009. 
 
At the Annual Meeting, shareholders will be asked to consider, inter alia, a 
proposal to cancel the admission of the Company's common stock to trading on the 
AIM Market of the London Stock Exchange.Should the proposal be approved by 
shareholders, it is anticipated that the AIM cancellation will take effect on 
July 24, 2009 and therefore the last trading day on AIM will be July 23, 
2009.The Company will maintain its primary listing on the NYSE Amex.  The 
background and reasons for the proposed AIM cancellation are set out in the 
Company's announcement on April 27, 2009. 
 
 
In addition, two of the Company's directors, Clifford M. Gross and Arthur 
Chapnik, have advised the Board that they have elected not to be re-nominated as 
a director when their term expires at the Annual Meeting.
