Departure
of Directors or Certain Officers; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective
August 28, 2017, Mr. Robert Pullar resigned as the Company’s Chief Financial Officer. Mr. Pullar’s resignation was
not the result of any dispute or disagreement with the Company or the Company’s Board of Directors on any matter relating
to the operations, policies or practices of the Company.
Mr.
Isaac Dietrich, the Company’s Chief Executive Officer, will serve as the interim Chief Financial Officer until the Company
can identify and retain a qualified replacement for Mr. Pullar.
