New Trustee Appointment
At a meeting on March 15, 2022, the registrant’s
Board of Trustees (the “Board”) appointed Nancy A. Wiser as an independent Trustee. Ms. Wiser commenced her service on the
Board on April 4, 2022. The Board has determined that Ms. Wiser is not an “interested person” as defined in Section 2(a)(19)
of the Investment Company Act of 1940, as amended.
