Item 8.01 Other Events.

On April 15, 2010, Lodgian, Inc. (the “ Company ”) issued a press release announcing that at a special meeting of the Company’s stockholders held that day, the stockholders adopted the Agreement and Plan of Merger, dated as of January 22, 2010 (the “ Merger Agreement ”), by and among the Company, LSREF Lodging Investments, LLC (“ Purchaser ”), and LSREF Lodging Merger Co., Inc. (“ Merger Sub ”), and approved the merger of Merger Sub with and into the Company (the “ Merger ”) with the Company surviving the Merger as a wholly owned subsidiary of Purchaser. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
