                        Spirax-Sarco Engineering Plc


Application has been made for the listing of 234,251 ordinary shares of 25p each
fully paid ("shares") to the UK Listing Authority and for trading of the shares
with the London Stock Exchange.  It is expected that admission will be granted
on 14th October 2003, and that dealings will commence on the same day.  These
shares are issued as a result of the allotment of shares pursuant to the Spirax
Sarco Engineering plc Employee Share Ownership Plan.  When issued, these shares
will rank pari passu with the existing ordinary shares.  The 234,251 shares
includes those already announced on 9th October 2003 notifying Directors
interests in shares that relate to the Company's Employee Share Ownership Plan.
