Item 2.02 Results of Operations and Financial Condition.

On February 23, 2023, Greystone Housing Impact Investors LP (the “Partnership”) issued a press release announcing its financial results for the fourth quarter and full-year ended December 31, 2022. A copy of the Partnership’s press release announcing these financial results is attached as Exhibit 99.1 hereto and is incorporated by reference into this report.
