On June 6, 2019, Coupa Software Incorporated (the
Company
) issued a press release announcing the pricing of its offering of 0.125%
convertible senior notes due 2025 in an aggregate principal amount of $700 million (the
Notes
). The Company also granted to the initial purchasers of the Notes an option to purchase up to an additional $105 million
aggregate principal amount of the Notes if the initial purchasers sell more than $700 million of Notes. The Notes will be sold to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. A copy of the
press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
