Would it help if they used some cash to buy back shares? I'd rather have less cash on hand than an rs! Then they could reissue later, at a higher PPS 🤔

Good Luck NXPL shareholders!

well they had no excuse for the 200-1 RS the first time around. That was OTC, yes, but if these guys want to do a RS, they'll just do it.

While what you suggest is possible I think it unlikely because they would lose access to the capital markets and it would be more difficult to acquire more companies. I think it more likely they are trying to keep the price under a dollar for 30 consecutive days so they have a good excuse to do an RS. NASDAQ frowns on RSs just to raise the price. We should try to spoil that plan with a few well timed 100 share buys.

With the price going down daily I was thinking about options to try and get some type of answer or response. People claimed to have called Glickman and that has got us nowhere, we have no CC calls anymore to raise questions, we get no PRs anymore, and the idea has been floated about legal action but that appears to be going nowhere. Another idea would be to have a formal letter written and directed specifically to the Board and Audit Committee of NXPL raising our questions, concerns, etc to see if we can get some type of action or response. If nothing is received to keep sending until we do. I am not going to be the ideal person to draft such a document but wanted to raise that idea to the group.

What's your pps average?

Presuming you have converted shares, your RXMD shares are currently valued at around 7 tenths of a cent ($0.007). We were at $.0295 when the reverse split occurred.

$1.33 is what NXPL needs to get to for our RXMD shares to be worth around a cent.

Many people feel they are not active push up pps but intentionally force it down . No such ceo and his management act like that if they do not want pps down. You can see how they discourage the public even they have some good news....

Bingo.

I don't know of any RXMD shareholder (at least those who don't also work for the company) who thought the terms of the merger were the least bit fair. The Board rubber stamping that deal was criminal.

We all know they suppressed the share price to get a good deal for Charles. That would be hard to prove. But proving the Board didn't look out for RXMD shareholders in the merger? Much easier. It's either in the Board of Directors meeting minutes, or it's not. (I'm simplifying things, but this is the gist of it).
👍 1
TrackDude TrackDude 6 days ago
One issue in hindsight is that there is a lack of board representation from legacy RXMD. Jervis Hough is it, while all other 8 board members are either existing NextPlat board members or RXMD board members picked by Charles pre merger. There's no one really to look out for the long time RXMD shareholders.

gedi8 gedi8 6 days ago
LOL...okay think what you want. This is nowhere near a class action. You need at least 10 plaintiffs and the Class has to be certified by the Court. Further, if this ends up as a class action, it is a shareholders suit not a product liability action. You may find it hard to find an SEC lawyer who takes a case like this on a contingent fee basis.

If you think I'm working with the company you are wrong. But to make you feel at ease, I'll step away from this discussion.
๐Ÿ‘๏ธ0

Do you think people are in the business of working for free?

Lawyers who don't collect unless they win will only take cases they will win.

Prove management tanked this stock....
👍 1
holt69 holt69 6 days ago
Gedi, I find your response quite sketchy. Most firms who take on class action lawsuits get paid only if they win, and if they do get paid, it's not the group of shareholders who cover their expenses.

No offense, but you come across as being in cahoots with the company.
👍️ 3
gedi8 gedi8 6 days ago
LMAO!!

Seriously though, If the Board decides to move forward with litigation I'm sure you all know it will be extremely expensive and may take years to resolve. Not only will an SEC Attorney be costly, an expert would have to be retained regarding the Valuation issue and the claims of Breach of Fiduciary duty. A lawsuit such as the one being discussed here will cost hundreds of thousands of dollars.

Bearslayer Bearslayer 6 days ago
We would be better off using Gedi as a liaison to an sec attorney. If Gedi has interest. We can't start a class action. We need an sec attorney to contact the company on our behalf to force communication with the ceo and let him know that litigation is probable if we aren't given a clear path to what is going on here. Because they hijacked Rx while it was on otc is the problem. They were able to do whatever they wanted. Everything was skewed in the direction of management. As majority owners, the legacy shareholders never had a chance. And there was no benefit to us. In court that would be obvious as to what was done here as it's of public record. Problem is the suit costs money and I'm not sure what we would actually gain. I know what the lawyers would gain.
I'm wondering, since Gedi speaks with the IR puppet, maybe he can ask to speak with Fernandez? Should the ceo not want to speak with a single shareholder since he speaks to us  never at this point, would be telling. It's worth a shot and we could come up with questions for Gedi. Again if he's willing.

Thank you my friend. I share your concern and point of view. I do believe that at some point Fernandez has to come from behind the curtain and talk to shareholders. I do still believe that this will recover thus my buying today. Iโ€™m going to try and stay positive with my investment here. Now that the impingement costs are behind us and the merger is complete the charges we just felt in Q3 with those 2 items are gone. The online store seems to be doing well. So itโ€™s on to Q4. Good luck to us all.

Good luck with your new shares Gedi! I have cash but I'm not feeling like I can average here. I agree that insiders are underwater and I hope that they are not happy about that!! What confuses me is that NXPL management doesn't even try to share a vision that would attract investors, and reverse their loss. I know about the PR's for NXPL China sales and other business segments, but what happened to expanding the RXMD business with locations, technology products, healthcare products (OK, the vitamins are a bit hopeful, if they can compete), ...anything innovative other than reselling drugs. I get the feeling that RXMD is set aside and will go stagnant as focus is an overall regret about investing in a healthcare company (that is my take from Flaker's visit today). If that's true, they should just finance a profitable sale back to Armen, or better, Shital. I know that will never happen, but my hope has degraded to wishing. I invested in and I miss the communication that came from Shital! Even Armen was hopeful, until he made a bad deal for himself and shareholders alike. I believe Armen had good intentions toward shareholders and he lost everything because he wasn't smart enough to make a solid deal with contingencies.

Charlie needs to communicate if he is honest about wanting to do right by former RXMD shareholders, and if he is serious about wanting to reverse his loss on the shares that he owns today, vs. the shares that he'd issue himself after another rs. That's my worst fear here. Is that fear justified? Trading below $1 it at least seems possible.

When I did it in June, I felt bad about realizing a 60% loss on 50% of my investment. Now, I'm wondering if I should have closed my position. My position was large. My loss is large. OK, I've said my thing, I won't keep repeating it. I hope that I'm given a reason to resume posting positive content here!! But I can't make it up, it needs to be based on communication from inside.

IMO

Good Luck NXPL Shareholders!
