On February 14, 2025, Venus Concept Inc. (the “Company”) held a Special Meeting of Stockholders (the “Special Meeting”). At the Special Meeting, the
Company’s stockholders approved the proposal listed below. The final voting results for such proposal are set forth in the following table. The proposal is described in detail in the Company’s definitive proxy statement for the Special Meeting.
