(b) Retirement of Member of Board of Directors

   

Effective November 1, 2023, Ronald A. Nelson retired from Westamerica Bancorporation’s (the Company) Board of Directors. Mr. Nelson served as the Chair of the Employee Benefits and Compensation Committee, and a member of the Audit Committee, Compliance Committee, Nominating Committee, and Westamerica Bank’s Board of Directors. He served on the Company’s Board since 1988. Mr. Nelson did not advise the Company of any disagreement with the Company on any matter relating to its operations, policies or practices.
