Item 2.02. Results of Operations and Financial Condition.

 

On March 30, 2023, XWELL, Inc. (the “Company”) issued a press release announcing that it intends to file a Form 12b-25 Notification of Late Filing with the Securities and Exchange Commission for an extension to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2022 on or before April 17, 2023 in accordance with applicable U.S. securities regulations. In addition, the press release contains certain preliminary unaudited financial results for the year ended December 31, 2022, including estimates related to certain anticipated cost saving initiatives, and certain select operating results. The press release contains “forward-looking statements” that are subject to the cautionary language about forward-looking statements set forth therein. A copy of the press release is attached hereto as Exhibit 99.1 and is hereby incorporated by reference in this Item 2.02.
