owned subsidiary of The Hershey Company, a Delaware corporation (
Parent

) and in the related Letter of Transmittal
(together with any amendments or supplements thereto, the

Item 11. Additional
Information
The information set forth in the Offer to Purchase under The OfferSection 15Certain Legal
Matters and Item 11 of the Schedule TO, to the extent such Item incorporates by reference the information contained in the Offer to Purchase, are hereby amended and supplemented by adding the following paragraph at the end of Section 15:
On January 9, 2018, Anup Mehra, another purported stockholder of the Company, filed a putative class action complaint in the
United States District Court for the Western District of Texas, Austin Division, captioned
Anup Mehra v. Amplify Snack Brands, Inc. et al.
, Civil Action No.

The Mehra Complaint seeks, among other things, an order declaring that the Schedule
14D-9
is materially false or misleading, an order preliminarily and permanently enjoining the Offer and the Merger, rescission of the transaction if it has already been consummated before entry of a final judgment
or an award of rescissory damages, damages for any profits or special benefits obtained by the defendants as a result of any breach of their fiduciary duties and an award of costs, including attorneys fees and experts fees.
