On April 29, 2020, GFL Environmental Inc. (the “Company”) completed its previously announced offering of US$500.0 million in aggregate principal amount of 4.250% Senior Secured Notes due 2025 (the “Notes”). The Notes were issued pursuant to an indenture dated as of April 29, 2020 (the “Indenture”) among the Company, the guarantors from time to time party thereto and Computershare Trust Company, N.A., as trustee and as collateral agent. The maturity date of the Notes is June 1, 2025. The Notes were offered and sold in the United States only to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States pursuant to Regulation S under the Securities Act.
