Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
STORE Capital Corporation, a Maryland corporation (the “Company”) announced that, effective December 9, 2022, Sherry L. Rexroad, the Company’s Executive Vice President – Chief Financial Officer, Treasurer and Assistant Secretary, is stepping down as an officer of the Company. It is anticipated that Ms. Rexroad will remain with the Company until the closing of the previously announced merger contemplated by that certain Agreement and Plan of Merger, dated September 15, 2022, by and among the Company, Ivory Parent, LLC, a Delaware limited liability company, and Ivory REIT, LLC, a Delaware limited liability company. At the conclusion of her service, Ms. Rexroad will receive payments and other benefits in accordance with, and subject to, the terms of her employment agreement.
