("UEC") (Symbol UEC: NYSE American), pursuant to a plan of arrangement. The arrangement was approved by security holders at a meeting held on August 15, 2022. Shareholders will receive 0.09 common shares of UEC in exchange for each Share held.

Saskatoon, Saskatchewan, July 29, 2022 – UEX Corporation (TSX:UEX) (“UEX” or the “Company”) announces that it has received an unsolicited non-binding proposal from Denison Mines Corp. (“Denison”) for the acquisition of all of the issued and outstanding common shares of UEX (the “Denison Offer”). The Board of Directors of the Company (the “Board”) has unanimously determined, after consultation with its financial and legal advisors, that the Denison Offer constitutes a “Superior Proposal” under the arrangement agreement dated June 13, 2022, as amended June 23, 2022, among UEX, Uranium Energy Corp. (“UEC”) and UEC 2022 Acquisition Corp. (the “UEC Arrangement Agreement”).

In accordance with the UEC Arrangement Agreement, the Company notified UEC on July 28, 2022 that it considers the Denison Offer to be a Superior Proposal. UEC has the right, for a period of five business days from receipt of UEX's notice, to offer to amend the terms of the UEC Arrangement Agreement.

UEX is also leading the discovery of cobalt in Canada, with three cobalt-nickel exploration projects located in the Athabasca Basin of northern Saskatchewan, including the only primary cobalt deposit in Canada. The 100% owned West Bear Project hosts the West Bear Cobalt-Nickel Deposit, the newly discovered Michael Lake Co-Ni Zone, and the West Bear Uranium Deposit. UEX also owns 100% of two early-stage cobalt exploration projects, the Axis Lake and Key West Projects.

Seems it is no longer considered "pink" in the USA. Volume of UEXCF way up after new listing. Glad I built my position while they were pink in the US. Up 120% so far for me. GLTA

Roger sounds so much better with each successive interview over the past year. He has really improved his image and delivery. Gone are those staged interviews and kumbaya Friday Photo Tweets that made me cringe.

Very credible and informative points are made in this & earlier interviews. He highlighted good logic for turning down money offers at this time without creating any unrealistic expectations. You know when Matthew Gordon interviews you, that he expects nothing less and he is getting it out of Roger. Thank you Matthew and Roger for a job well done on both sides.

So why is SPOT price still lagging? While it is up this morning by $0.25 it first fell $0.80 over the previous 8 days or so. So it has some recovery to get back to recent highs.

It is my view that a certain Geopolitical issue continues to affect the price to the lower end. I won't go into those details because the situation is way to complex and I don't want to get into the politics of it here. Suffice it to say that they may not be as independent as Brandon suggests in the interview. Don't make any assumptions as to what I mean by that comment. Chances are you won't be right.

That said, Logic dictates that eventually the Supply Demand equation will rule. If the Geopolitical issue is dealt with as the Supply Demand gap grows then we could see a sudden violent move upward in SPOT.

When I talk about the Supply Gap, I don't just mean the line that we see in many graphs which show the gap fluctuating. I believe the delivery delay factor of two years has to be added to the GAP time frame.

The Perfect Storm.

Just when I noticed that all trades this morning were taking place on the TSX suddenly the price started to fall and look where those trades took place. Not on the TSX. So when the shorter seller have to cover their shorts they are forced to buy wherever the shares are offered. But when they want to drag the price back down they conveniently switch to the invisible order systems known as the Alternate Tricking Systems. Why the secrecy? How much longer is this behavior going to be tolerated by the mining companies and their investors. Write to your MP and MPP. Don't let them tell you the COVID-19 is preventing them from fixing this. We need to have this fixed now.

What kind of trading regulators do we have? Who are they working for? Certainly NOT the little guy. Why are ATS transactions prevented from displaying their volumes to the people who use the most widely used online trading services?

Stop announcing your positions/activity

When amateur traders announce their every move on the internet, the short sellers get an advantage knowing that they are dealing with weak hands. Those with an irresistible urge to disclose each trade and total holdings foolishly send a signal to the short sellers 'hey folks I just bought a million shares and I never sell for a loss' but they know better and they know that if you hold a large number of shares they come after you and wait for you to drag the stock lower as they sell the stock short.

Stop announcing your positions and trades. Nobody gives a damn except for those with the means to manipulate the share price. Grow up. Smarten up. and maybe, just maybe your share price will go up too.
