Item
1.01 Entry into a Material Definitive Agreement
On
August 11, 2020 we agreed to repurchase 1,000,000 shares of our common stock from Acorn Management Partners, LLC (“AMP”).
As consideration for the share repurchase, we issued a $50,000.00 promissory note bearing interest a 6.0% per annum and due
one-year from the date of issuance (the “Note”). In the event we default under the terms of the Note, we are required
to deliver 1,000,000 shares of our common stock back to AMP in full satisfaction of the obligation.
Prior
to the completion of this transaction, AMP owned more than 5% of the outstanding shares of our common stock. After the transaction,
AMP owns less than 5% of the outstanding shares of our common stock. We believe the reduction of AMP’s ownership percentage
below the 5% threshold better positions us for a future uplisting to a national exchange.
The
Promissory Note for the repurchase of our common stock is qualified in its entirety by reference and is filed as Exhibit 10.1
to this report.
