Dear Kid Castle Educational Corporation Shareholder:

The requisite majority of Kid Castle Educational Corporation shareholders has approved a reverse stock split and “going-private transaction” that is expected to reduce the number of holders of record of our common stock to less than 300 and enable us to terminate the registration of our common stock under the Securities Exchange Act of 1934.  Shareholders holding less than 5000 shares before the transaction will have their shares redeemed for $0.18 per share, and will not continue as shareholders of the company.  The going private transaction will be effective no sooner than March 22, 2010 (25 days after the date this Notice was first mailed).

We are not asking you for a proxy and you are requested not to send us a proxy.

The Information Statement is furnished only to inform our shareholders of the actions described above before they take place in accordance with Rule 14c-2 of the Securities Exchange Act of 1934.
