The complaint alleges that Liquid Holdings and certain of its officers and directors ("Defendants") misrepresented and/or failed to disclose that: (1) Liquid Holdings was overstating its ability to generate customers; (2) the Company's business model was unsustainable; (3) the financial condition of the Company's main and largest customer, an investment entity known as QuantX Management, LLP ("QuantX"), was deteriorating; (4) as a result, the Company's financial results and operating metrics were overstated; (5) the Company's financial statements were not prepared in accordance with GAAP; (6) Liquid Holdings lacked adequate internal controls; and (7) the Company's financial statements and Defendants' statements about Liquid Holdings' business, operations, and prospects, were materially false and misleading.

The claims in this case followed the Company's filing of an 8-K in which it revealed, among other things, that QuantX, which accounted for 61% of Liquid Holdings' revenues in the third quarter of 2014, and a substantial portion of its revenues since its inception, was delinquent on approximately $1.7 million in payments. The Company further reported that it had terminated its consulting agreement with defendant Brian Ferdinand, its co-founder, former Chairman and QuantX affiliate, pursuant to which Ferdinand was to provide business development, client introduction and other services to Liquid Holdings. The price of Liquid Holdings shares fell from $0.74 to $0.40 on December 24.
