Dude, all these Companies have plans to uplist on NASDAQ. Name one that says it doesn't.

Getting on Nasdaq is always the problem. Even OTC Companies with stellar balance sheets have problems uplisting
due to market manipulation of their tickers. Guys like Kenny Griffen of CDEL Doug Cifu of Virtu don't help.

Standard boiler plate though. Uplisting to NASDAQ.

What is your thoughts on using this shell to go public with Phoenix Group. Personally I am trying to weigh the pros and cons. I think a SPAC is out the question. Therefore, would a direct listing be better or a reverse merger? I know they would have to dilute at least 40 million worth of shares with the shell but they wouldn’t have to jump on the Nasdaq and only sell the shares they currently own. Which would allow for more growth and control which they seem to feel very confident and committed that they will grow a lot in the next 5 years. And a firm commitment of 40 million worth of shares wouldn’t even be that much dilution. Not to mention that with timing seeming to be of importance here then a reverse merger would be much easier to manage rather than a traditional IPO. What do you think? I know it’s all speculation but understanding the dynamics at play, what makes more sense here knowing that they are now announcing a commitment to get on the Nasdaq and the changes this past week. Plus the shell seems to be very clean and well managed. After writing that I probably have an idea considering you position but hearing your thoughts would be nice.

Munaf Ali appointed Phoenix CEO...Nasdaq 2025.......

Phoenix does fully intend on getting a Nasdaq listing at some point. This was confirmed by Sheharyar Haider Malhi (Phoenix CFO, TCRI director) during the Phoenix Q3 2024 conference call. I did not take notes while listening to a replay of the call so I am just going by what I can remember. When responding to a question regarding whether Phoenix has any plans to obtain a listing on Nasdaq, Malhi said "absolutely". He said it wasn't a top priority or the primary focus of the company at the moment. So the timeline of when they might apply is unknown.

Well, this certainly is an interesting development today involving TCRI's controlling shareholder (Munaf/Phoenix). Munaf Ali has now become CEO of Phoenix Group, and it appears that Phoenix intends on pursuing a dual listing on Nasdaq in calendar 2025.

Phoenix Group held a meeting of its Board of Directors today. Bijan Alizadeh resigned from his CEO position, and Munaf Ali was appointed to the position. If I had to take a semi-wild guess, I think this change was done primarily because Phoenix wants that Nasdaq listing. Munaf just seems like a more polished public speaker and arguably has more extensive connections in the global financial world, so it would seem to make sense to me that Phoenix would be better suited to have Munaf as the primary face/voice/leader of the company.

Similar to what I said about Carl Agren, the Wonder Valley project, and TCRI: At a minimum, I would think that the more exposure that Munaf Ali and Phoenix generate as a result of their pursuit of a Nasdaq dual listing, this should generate increased attention toward TCRI (as long as Munaf/Phoenix continue to have a connection/involvement with TCRI). The mystery continues.

Wonder Valley, Agren, TCRI......

What's your take on this Wonder Valley project that Carl Agren is right smack dab in the middle of? Is TechCom the HPC and AI data centers company that Carl Agren is mentioned being CEO of?

I'm not sure what to really make of Carl Agren's involvement in that project and whether there would be any possibility of a connection to TCRI. The wording in Kevin O'Leary's press release statement below (along with some internet searches) doesn't provide much clarity regarding Agren's current activities. It is not clear to me whether "HPC and AI Data Centres" might be just a division within O'Leary's company and Agren is heading up that division, or whether it is a completely separate company that Agren is involved with and it is entering into some kind of joint venture with O'Leary.

"My joint venture team led by Paul Palandjian, CEO O'Leary Ventures and Carl Agren, CEO, HPC and AI Data Centres, has sourced what we believe is the most compelling site in all North America to generate and offer 7.5 GW of low-cost power to hyperscalers over the next 5-10 years. Given existing permits, proximity to stranded sources of natural gas, pipeline infrastructure, water and a fiber optic network within just a few kilometers of the Greenview Industrial Gateway, we will be in the ground and up and running sooner than any scale project of its kind," said Kevin O'Leary, Chairman of O'Leary Ventures.

I did notice that some Phoenix employees have liked posts that Kevin O'Leary and Carl Agren have made about this project on LinkedIn, which is somewhat interesting. Since it appears Agren is going to be a fairly prominent figure in the Wonder Valley project, I would think at a minimum this would indirectly bring some added attention to TCRI as long as Agren continues to have some connection/involvement with TCRI. The mystery continues regarding exactly what will happen with this shell, but my gut feeling is that we are getting much closer to finding out.

Phoenix Group's senior leadership, two of them are on the board of directors for TechCom TCRI. The Phoenix Group is the beneficial/majority owner of the TCRI shell. Do we see a dual listing situation coming to this shell company? They are most definitely going to want to get at the U.S capital markets especially after the results of the most recent U.S. election. Thank you Potse once again for your insight. Your analysis is second to none. I am becoming more and more convinced each and every day that Phoenix will utilize the TCRI shell in a big way at some point. Just the U.S. election results alone have me more convinced of this. It's probably a major reason why Phoenix/Mr. Malhi are now hinting at a NASDAQ listing at some point in the future. It should be very interesting to see how exactly they plan on utilizing TCRI as more things materialize in the Crypto world.

Exactly what Phoenix intends to do with the TCRI shell is indeed the big question. It would have been pretty wild and fun for us TCRI shareholders if Phoenix would have proceeded with its original plan of going public via TCRI rather than pursuing an overseas listing. But I remain optimistic and bullish on the prospects of TCRI as long as Phoenix continues to have involvement with this shell.

The three most probable scenarios, IMO: 1) Phoenix hired Charlie Faulkner and Simon Wajcenberg with the intention of having them basically implement their original Edgemode plan (cryptocurrency mining, high performance computing data centers) in the TCRI shell, with the assistance of Phoenix. One of the sites would likely be located in Carolina. 2) Phoenix has intentions of transfering one or more of its US-based hosting sites to the TCRI shell. One of its Carolina sites would probably be the most likely. 3) Phoenix wants Charlie and Simon to basically turn TCRI into a technology holding or venture investment type of vehicle, which is something they both have experience with.

The reason I mention the possibility of TCRI becoming involved with some type of crypto mining or data center in either North or South Carolina: If you do a right-click "view page source" on the Techcom website (https://techcom-inc.com/), you will find language referencing "Carolina site #1". It is known that Edgemode had plans for a site in North Carolina. Phoenix has at least one site in South Carolina (possibly another 3 under development there, but I am not entirely sure about that). As far as I am aware, this language has been on the TCRi website for quite awhile......

I think it is a given that most retail TCRI shareholders (myself included) probably would feel much more comfortable if Carl Agren and Sheharyar Haider Malhi were in the roles of CEO/CFO here at TCRI instead of just directors. But as noted in previous posts, Phoenix has the final say in any debt obligations that TCRI enters into. That certainly does not guarantee that any catastrophic decisions might not be made here but it does provide at least one level of potential safeguard. I think it is reasonable to assume that Munaf Ali or other Phoenix executives know Charlie and Simon well and are aware of any successes/failures they have had in their business dealings. So I am willing to defer to Phoenix's judgement call on TCRI's management, until proven otherwise.

TCRI has the potential to become a very valuable asset for Phoenix if everything is handled correctly here. I have my fingers crossed that the next TCRI catalyst will be reasonably good.

Something to think about.
OTC market is dead. No question about it.
The OTC market volume has dropped almost 50% since 2022. That is horrible.
Investors have moved to high risk low float Nasdaq stocks instead of mostly scam OTC plays.
If Charlie is still involved in TCRI then don’t expect much.
JMO.
BTW… crypto is going crazy yet Charlie still cannot get financing for this play. Makes you wonder why big investors don’t trust him.

This shell is NOT owned by Simon Wajcenberg or Charles Faulkner. The majority/controlling owner of this shell is The Phoenix Group headquartered out of the UAE. Based on the recent results of the U.S. election, it is my strong belief that Phoenix will utilize TCRI in a very substantial way in the very near future. Perhaps in a similar way they had planned a few years ago by bringing revenue generating assets into the shell. Or using it in some major capacity to uplist to the NASDAQ perhaps. It's a win/win situation for Phoenix right now. If Simon and Charlie come through with their funding, then great. If not, who cares. I think we'll find out shortly the exact direction they plan on going. Always keep in mind, Phoenix is the real player here!!!!!

We are less that 2 weeks from the U.S. election. One candidate is somewhat pro Crypto, and the other is very pro Crypto. Should be a win/win for the industry no matter who wins in November. Anything is better than the current administration as it pertains to this technology overall. I expect Phoenix to make some big moves here in north America after these elections regardless of who wins. It will remain a mystery what roll the TCRI shell plays into their overall plans but just a few short years ago, they had big plans for this shell before putting those plans on the back burner. My guess, it was because of this current administration's stance of the crypto industry as a whole. That negative posture all goes away here shortly.
