        Armour Trust plc ("Armour" or the "Company")
                              
                Armour Employees' Share Trust
                              
S  G Hambros Trust Company (Guernsey) Limited as the trustee
of  the  Armour  Employees  Share Trust  ("the  Trust")  has
notified  the  Company  that  it acquired  483,000  ordinary
shares of 10p each in the Company ("Ordinary Shares")  at  a
price of 20.5p per Ordinary Share, representing 1.19% of the
issued Ordinary Share capital.  The Trust holds these shares
in a discretionary trust for beneficiaries which include all
employees  and  former  employees  including  the  executive
directors of the Company who are therefore interested in the
shares being acquired.

The  acquisition of Ordinary Shares was for the  purpose  of
the  Armour  1999  Approved and Unapproved  Executive  Share
Option  Schemes ("the Schemes") and, consequently,  some  or
all  of the executive directors of the Company may, at  some
future  time, obtain a beneficial interest in  a  number  of
these  shares if and when further awards are made under  the
Schemes.
