                    SKY CITY SECOND INSTALMENT RECEIPT

Brierley Investments Limited gives notice that its wholly owned subsidiary,
Betony Properties Limited, has sold to Westpac Banking Corporation its security
interest securing payment of the second instalment by purchasers of the shares
in Sky City Limited created by virtue of the Instalment Receipts issued pursuant
to the terms of an Instalment Receipt Trust Deed dated 2 March 1999.
