                Further results of rights issue and refinancing

BWA Group Plc announces that Bath Limited has today, 20 June 2001, disposed of
21,000,000 New Ordinary Shares of 0.5p each, which shares formed a part of the
320,000,000 New Ordinary Shares underwritten in the refinancing arrangements
announced by the company on 27 April 2001. This disposal was made in accordance
with the undertakings given by Bath Limited at the time the refinancing
arrangements were announced.

After this disposal Bath Limited remains interested in 5.47% of the total issued
share capital of BWA Group Plc.
