Grant of options

CES Software Plc ("the Company") announces that on 7 January 2005 it granted
options to subscribe for an aggregate of 1,341,726 ordinary shares of 5 pence
each in the Company ("Ordinary Shares") at an exercise price of 179 pence per
share under the CES Software Plc 2003 Unapproved Employee Share Option Scheme.
These options, subject to any vesting conditions being satisfied, are
exercisable at any time on or before 6 January 2015.

As part of this tranche of option grants, options to subscribe for up to
1,000,000 Ordinary Shares have been granted to Andrew Rivkin who has agreed
subject to regulatory approval, to become executive chairman of the Company.
Options have also been granted to Lorne Abony to subscribe for 250,000 Ordinary
Shares. Both Lorne Abony and Andrew Rivkin are directors of the Company.
