to the Approved and Non Approved Share Option Schemes.  Copies of the note are

The amendment will be voted on at an EGM and the Company has given Notice to
shareholders of an Extraordinary General meeting to be held at the Company's
offices at 11 Manasty Road, Orton Southgate, Peterborough PE2 6UP, on Monday 8
May 2006 at 9.30am.
