                            Director's Shareholding


The Company has been informed that Ken Pratt, Finance Director of Imagesound,
has purchased 250,000 shares at 13.25 pence per share. Mr. Pratt has a
beneficial interest of 1,225,500 shares which represents 1.93 per cent. of the
issued ordinary shared capital of the Company.
