                        DIRECTORS' DEALINGS NOTIFICATION

The Company was informed on 27 June 1997 that CRF Kemp, an non-executive
director of Lincat, bought 995 ordinary shares of 10p each ("Ordinary Shares")
in the Company at 295p per Ordinary Share.

Following the transaction Mr Kemp is beneficially interested in 23,114 Ordinary
Shares representing 0.2 per cent of the issued share capital of the Company.
