APPOINTMENT AND RESIGNATIONS OF DIRECTORS 
 
Northern Foods notes that on 7 April 2011, BH Acquisitions Limited ("Boparan") 
declared its offer to acquire the entire issued and to be issued ordinary share 
capital of Northern Foods plc (not already owned by Boparan or any of its 
associates and excluding any treasury shares) unconditional in all respects. 
 
Further to the above, Northern Foods reports the following resignations and 
appointments of directors of the Company. 
 
On 7 April 2011, each of Anthony Hobson, non-executive Chairman of the Company 
and David Nish, Orna Ni-Chionna, Tony Illsley and Sandra Turner, the 
non-executive directors of the Company, resigned as a director of the Company, 
all such resignations taking effect from the close of a meeting of the board of 
directors of the Company held on 7 April 2011 and convened to approve such 
resignations. 
 
Also on 7 April 2011, Ranjit Boparan was appointed as non-executive Chairman of 
the Company and each of Baljinder Boparan, Kuldip Kular, Jon Silk and Graham 
Hunter were appointed as directors of the Company with effect from the close of 
the above meeting of the board of directors of the Company held on 7 April 2011 
and convened to approve such appointments. 
 
On 4 June 1993, Ranjit Boparan was appointed as an executive director of 
Midland Poultry Products Limited, in respect of which receivers were appointed 
in 1 September 1993. On 1 January 1994, Ranjit Boparan was also appointed an 
executive director of Country Feast Limited. On 3 February 1994, Country Feast 
Limited was placed into voluntary creditors liquidation. Ranjit Boparan has 
held no other directorships of publicly quoted companies during the past five 
years and there are no further disclosures to be made in respect of his 
appointment under paragraphs LR 9.6.13 (2)-(6) of the Listing Rules of the UK 
Listing Authority. 
 
On 17 September 1999, Jon Silk was appointed an executive director of Radmore 
Trading Limited. On 27 June 2001, Radmore Trading Limited was placed into 
voluntary creditors liquidation. Jon Silk was also appointed as an executive 
director of Traylodge Limited, which was placed into administration in October 
1990 and then compulsory liquidation in April 1991. Jon Silk has held no other 
directorships of publicly quoted companies during the past five years and there 
are no further disclosures to be made in respect of his appointment under 
paragraphs LR 9.6.13 (2)-(6) of the Listing Rules of the UK Listing 
Authority. 
 
Baljinder Boparan, Kuldip Kular and Graham Hunter have held no other 
directorships of publicly quoted companies during the past five years and there 
are no further disclosures to be made in respect of their appointments under 
paragraphs LR 9.6.13 (2)-(6) of the Listing Rules of the UK Listing 
Authority.
