    POSTING OF CIRCULAR AND NOTICE OF EXTRAORDINARY GENERAL MEETING TO SEEK 
                 RE-REGISTRATION AS A PRIVATE LIMITED COMPANY 
 
On 7 April 2011, BH Acquisitions Limited announced that its offer to acquire 
the entire issued and to be issued ordinary share capital of the Company 
(excluding treasury shares) made on 9 February 2011 had become unconditional in 
all respects (the "Offer"). 
 
Re-Registration 
 
Northern Foods plc has today posted a shareholder circular (the "Circular") and 
notice of an Extraordinary General Meeting (the "EGM") to be held at 10.00 a.m. 
on Thursday 28 April 2011 at the offices of BH Acquisitions Limited, Dial Lane, 
West Bromwich, Birmingham, West Midlands, B70 0EB along with a form of proxy to 
shareholders of Northern Foods plc in respect of the proposed re-registration 
of Northern Foods plc as a private limited company. Shareholders of Northern 
Foods plc will be asked to approve the resolutions in respect of the Company's 
re-registration as a private limited company either in person or by proxy at 
the EGM. 
 
A copy of the Circular has been submitted to the National Storage Mechanism and 
will shortly be available for inspection at: www.Hemscott.com/nsm.do. The 
Circular will also be available to view on the Company's website at 
www.northernfoods.com.
