   CORRECTION - Issue of Equity, Closure of Offer and Total Voting Rights 
 
   The announcement released at 15:49 on 15 December 2015 (which was to 
amend the announcement released at 15.30 on 15 December 2015 to include 
a disclosure of the allotment of shares to a PDMR) has been amended to 
include a disclosure of the fact that the allotment of shares to a PDMR 
was not pursuant to the Offer for Subscription to raise up to GBP3.8 
million in the 2014/2015 and 2015/2016 tax year. 
 
   Octopus Eclipse VCT plc (the "Company") announces that 2,025,789 
Ordinary Shares of 10p each ("shares") were issued and allotted today at 
a price of 36.8p per share, equivalent to the current NAV of 34.7p 
grossed up by up to 5.5% (as set out in the Offer document dated 19 
January 2015). These shares were issued pursuant to an Offer for 
Subscription to raise up to GBP3.8 million in the 2014/2015 and 
2015/2016 tax years. 
 
   In addition, Mr Stuart Lewis, a person discharging managerial 
responsibilities, was separately allotted 35,053 Ordinary Shares today 
at a price per share of up to 36.8p and his total holdings are now 
35,053 Ordinary Shares representing approximately 0.03% of the Company's 
issued share capital. 
 
   Application has been made to the London Stock Exchange for admission of 
the new shares. Admission is expected to become effective on or around 
31 December 2015. 
 
   The Offer is now closed. 
 
   The issued share capital and total voting rights of the Company is now: 
103,277,637.
