The Directors of OEM Plc have noted the rise in the company's share price of
yesterday (23rd March 2006), the Company knows of no reason why this has taken
place.

In the Chairman's statement of 29th November 2004, and the Chairman's letter to
Shareholders dated 1st December 2004, reference was made to litigation resulting
from the activities of the late Brian Schneider, when he was a Director of OEM
Plc.

To date, there are on going negotiations with the remaining defendants, which
have not as yet settled, likewise there are continuing negotiations with the
former Auditors, against whom proceedings have been issued.

Other than the information contained aforegoing, and the public announcements
referred to above, the Directors of OEM Plc know of no reason for the increase
in OEM Plc's share price.
