Cash Offer by 
UKRD Group Limited, as advised by Charles Stanley Securities, 
for the entire issued and to be issued ordinary share capital of 
The Local Radio Company PLC (the "Offer") 
 
 
OFFER UPDATE 
 
 
The board of directors of UKRD Group Limited ("UKRD") has noted and considered 
the announcement released by The Local Radio Company PLC ("Local Radio") on 
Wednesday 1 April 2009 and particularly the statement that "the company's cash 
flow projections show it requires an injection of funds by the end of April 2009 
in order to continue trading". 
 
 
In light of that announcement the UKRD Board reiterates that it has funding 
available to allow an injection of working capital from UKRD into Local Radio as 
soon as practicable once the Offer is declared wholly unconditional. 
 
 
Accordingly, the UKRD Board strongly urges Local Radio Shareholders to accept 
the Offer without delay to hasten the availability of much needed funding from 
UKRD to Local Radio to enable it to continue trading after the end of April 
2009.  The UKRD Board would remind Local Radio Shareholders that the First 
Closing Date is 1 p.m. on Tuesday 21 April 2009. 
 
 
A copy of this announcement, together with the announcement referred to above 
released by Local Radio on 1 April 2009, is being posted to Local Radio 
Shareholders today.
