UK Mail Group plc announces that the under-mentioned directors
and other persons discharging managerial responsibility, ("PDMRs")
have received shares under the terms of the UK Mail Group plc
Long-Term Incentive Plan ("LTIP").
The shares vested on 28 May 2013 for nil consideration pursuant
to a conditional award originally made on 26 May 2010. The
disposals referred to below were solely undertaken to cover tax
liabilities and costs relating to the transaction. All of the
disposals below were made on 3 June 2013 at GBP5.10 per share.

The award was satisfied by 51,100 shares released from the UK
Mail Group Employee Share Ownership Trust ("ESOT"). The ESOT
subsequently repurchased 31,811 shares at GBP5.10 per share.
Following these transactions the ESOT holds 36,204 shares
equivalent to 0.07% of the issued share capital. UK Mail Group's
issued share capital is 54,734,482 ordinary 10p shares.
On 4 June 2013 the following directors and PDMRs were granted
options ("Options") under the LTIP to acquire ordinary shares of
GBP0.10 each in the Company for nil consideration as follows:

The options will ordinarily vest on the third anniversary of
grant subject to the grantee's continued employment and the
satisfaction of performance conditions assessing the Company's
earnings per share growth and the Company's total shareholder
return relative to a comparator group comprising the constituent
companies of the FTSE All Share Index (excluding investment
trusts). No consideration was paid for the grant of options.
The Company was informed of the above transactions on 5 June
2013.
