                            ("PRI" or "the Company")


On 3 April 2003, the Company announced that Andreas Loucaides, Peter Matson and
Mike Walton ("the Directors") were interested in 663,000, 663,000 and 390,000
shares, respectively, by virtue of awards under the PRI Performance Share Plan
("the Plan").  The Directors became entitled to such shares on 23 May 2003 when
the offer for the Company by Brit Insurance Holdings Plc ("the Offer") was
declared wholly unconditional.  The Company has been informed that the Trustees
of the Plan were instructed by these Directors to accept the offer in respect of
these shares and such shares were assented to the Offer on 23 May 2003.
