Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 8, 2023, Paul D. Rodio, the Company’s Chief Operating Officer, departed from Establishment Labs Holdings Inc. (the “Company”). In accordance with his employment agreement, a form of which was previously filed as Exhibit 10.1 to the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission (the “SEC”) on December 2, 2022, contingent upon Mr. Rodio’s execution of a general release agreement, Mr. Rodio will be entitled to the severance benefits specified therein. Upon Mr. Rodio’s departure, Juan José Chacón Quirós, the Company's Chief Executive Officer, assumed the management responsibilities formerly held by Mr. Rodio as the Company’s principal operating officer, and Mr. Chacón Quirós will continue to have such management responsibilities until such time as the Company assigns them to another individual. Biographical and other information regarding Mr. Chacón Quirós, including his business experience and arrangements with the Company, are included under “Proposal 1: Election of Directors” and “Certain Relationships and Related Party Transactions” in the Company’s Definitive Proxy Statement on Schedule 14A filed with the SEC on April 12, 2023, which information is incorporated herein by reference.
