EXPLANATORY NOTE
This Amendment No. 1 to the Form 6-K filed by Cian PLC (the “Company”)
with the Securities and Exchange Commission on March 16, 2023 (the “Original Filing”), is filed solely to correct the signature block to the Form 6-K of the Original Filing.
Except for the correction described above, this amendment does not
amend or modify any other disclosure in the Original Filing.

On March 16, 2023, Cian PLC issued a press release announcing
receipt of a notice of delisting from NYSE and the Company’s intention to appeal.
