Explanation of Responses:
(1)  This represents the grant of a restricted stock unit award. Each restricted stock unit represents the right to receive one share of Common Stock at vesting. The restricted stock units will vest on October 19, 2018.
(2)  The reporting person disclaims beneficial ownership of the securities shown as being held by the Finn Grandchildren Trust, which is for the benefit of sixteen individuals (including three of the reporting person's children), and for which the reporting person is the sole trustee.
