When a company FIRST goes public it’s called an IPO…an s-1 IS filed to sell shares…

If that company 2 yrs later wants to file another offering, they will file a NEW S-1… and that will be called a SECONDARY offering…it will NOT be an IPO because you can only have one INITIAL offering…
