UC Resources Ltd.: Shares for Debt

UC Resources Ltd. (TSX VENTURE:UC) - 

The Company wishes to announce it has agreed to issue a total of 278,737 shares
for debt, at a price of $0.095 per share, to extinguish a debt in the amount of
$26,480. Trading in the shares issued for the debt will be subject to a four
month and a day hold period from the date of distribution.


The issuance of shares for debt is subject to TSX Venture Exchange approval.
