EXPLANATORY NOTE
DEREGISTRATION OF SECURITIES
American Oriental Bioengineering, Inc. (the
“Company”) is filing this Post-Effective Amendment No. 1 to its registration statement on Form S-8 (File No. 333-117276),
filed on July 9, 2004 (the “Registration Statement”), pertaining to the Company’s registration of 700,000 shares
of common stock, which were issued under consulting agreements.
On February 14, 2014, the Company filed
Amendment No. 3 to Schedule 13E-3 as part of a “going private” transaction structured to permit the Company to discontinue
its reporting obligations under the Securities Exchange Act of 1934. In furtherance of that objective, and pursuant to the undertaking
made by the Company in the Registration Statement to remove from registration by means of a post-effective amendment any of the
securities being registered that remain unsold at the termination of the offering, the Company is filing this Post-Effective Amendment
No. 1 to the Registration Statement to deregister all of the securities that remain unsold under the Registration Statement.
