Item 1.02 Termination of a Material Definitive
Agreement
On November 6, 2019,
Noble Vici Group, Inc., a Delaware corporation (“we,” “us” or the “Company”), entered into
a Termination Agreement with Kootoro Vietnam Inc., a limited liability company organized under the laws of Vietnam (“KVI”),
whereby the parties agreed to terminate that certain Binding Memorandum of Understanding dated June 17, 2019 (the “MOU”).
Pursuant to the terms of the MOU, which was previously disclosed in a current report on Form 8-K filed with the Securities and
Exchange Commission on June 17, 2019, the parties had agreed to explore the establishment of a strategic partnership to increase
the Company’s presence in Vietnam.

of the Termination Agreement is qualified in its entirety by reference to the Termination Agreement, which is filed as Exhibit
10.1 to this Current Report and incorporated herein by reference.
