Resignation of Officer and Director
On
August 15, 2019, Mr. Bill Williams resigned from his position as
Chairman of the Board and Chief Executive Officer of NaturalShrimp
Incorporated (the “Company”), effective August 31,
2019. Mr. Williams’s resignation was not the result of any
disagreement with the Company on any matter relating to the
Company’s operations, policies or practices.
Appointment of Officer
On
August 13, 2019, the Board of Directors named Gerald Easterling to
fulfill the role as Chief Executive Officer the Company effective
upon Mr. Williams’ resignation.
There
is no arrangement or understanding pursuant to which Mr. Easterling
was appointed as Chief Executive Officer of the Company. Mr.
Easterling has no family relationships with any other executive
officers or directors of the Company, or persons nominated or
chosen by the Company to become directors or executive officers.
Furthermore, the Company is not aware of any transaction requiring
disclosure under Item 404(a) of Regulation S-K.
