So why are you here? 

Bro it's down 95% with billions sold and no news for months.

What makes more sense given the action? 

That park is hiding a juggernaut company no one knows about or people been selling for months to the tune of billions of shares and  an RS is both approved of by the company and likely happening?

In May 2024 this stock was $0.013. Since that time we have seen audits, multiple financial reports, too many pumping press releases to count, contracts, shipments, acquisitions, revolving CEOs, cutting edge technology, millions in revenue, and hoards of pumping puppets intent on driving the price up so they can pick the pockets of gullible investors. DISPITE all that, here it is at $ 0.001 and the pumpers still insist Spzi is headed to the moon. Even Park can't believe there are still people buying after all that. You have to hand it to the hard core pumpers, they'll still be telling others to "load up" until the very end.

Reverse splits never happen...until they do. Park increased the A/S by 1 billion. As of today, 98% of the A/S is maxed out. So how else will SPZI fund operations and acquisitions....print billions more shares?

Mark my words. If the rumored R/S happens it will be accompanied by much, much smaller "token reduction" in the A/S. The result is a stealth INCREASE in the number of shares available to issue and dump without admitting so.

Example--

A 1-for-100 R/S would temporarily lift SPZI from .001 to .10.
The current O/S would drop from 6.37 billion to 63.7 million

HOWEVER

As I said, 98% of the current A/S is issued and outstanding. A 1-for-10 "stealth reduction" in the A/S would drop it from 6.5 billion to 650 million. Sounds great huh? That is until you consider this new 63.7 million O/S only represents >10%< of the newly (*cough cough*) "reduced" 650 million A/S. This is how management dupes investors into thinking they reduced the A/S instead of massively increasing them

Lastly--
If a pre-R/S .001 stock falls to .0001 it loses 90%
If a post-R/S .10 stock falls to .0001 it loses 99.9%

NO, that is absolutely not true. For every sell, there is one or more MM's that buy them. They may or may not have buyers for them, but they HAVE to buy them if at market OR within their spread.
Odd, so few people understand what Mm's actually do.
When you buy or sell, you are buying or selling to an MM - nothing else.

Park has stopped communicating - Diego Baez resigned or just left with without explanation and also resigned from the Board.

Having structured LLCs, I can confirm that the "membership interest" is not recorded in public records. Additionally, the members interest isn't recorded with IRS and ONLY shows up under the K1 filed by the LLC, assuming they EVEN file a tax return. When an LLC is set up as a "single asset entity", (meaning it holds no other assets) it is not required to file a separate tax return. The projects costs can be filed on the members personal tax return on their Schedule E.

In other words, one can hide behind a LLCs much like the recent unfolding with Hunter and the Brandon family. Add in the fact that the SPOOZ's returns are not reviewed by the SEC and you have the perfect structure for ripping off shareholders. Which also begs MANY questions about the last "member" sale.

This is why IRS recently required LLCs to file a corporation filing naming the ownership/manager contact information before 12/31/24, which is currently on hold. And in my professional opinion will have little to no effect to protect shareholders.

Park issued 6 press releases in January 2024 and his last press release was on 11/21/2024.

So it has been 3 months since Park issued a press release. Add in that without explanation Diego Baez did a cut and run - as he resigned as the CEO and as a board member.

Evidence seems to point to ''missionary/ pastor'' Park being a high level operative in the global UBF hierarchy for decades. That's where all loyalty lies. IMO that's likely where the money comes from to finance these various schemes...and who ultimately benefits financially.
