U.S.$159,151,000 Additional Tier 1 Capital Certificates (the
"Certificates") of KHCB Tier 1 Sukuk Limited (the
"Issuer")
Following the passing of an
extraordinary resolution in writing on 6 March 2024 requesting that
holders of the Certificates (the "Certificateholders") consider and
approve certain modifications to the terms and conditions of the
Certificates (the "Written
Resolution"), the Issuer will now implement each of the
proposals set out in the Written Resolution.
The Written Resolution is available
to any Certificateholder upon written request to the Delegate,
subject to providing to the Delegate, as evidence of holdings of
Certificates, a copy of:
1. a current Euroclear
(EASYWAY/EUCLID) or Clearstream statement (or screenshot)
evidencing full details of the Certificateholder's Euroclear or
Clearstream account number, the Certificateholder's name, the ISIN
number of the Certificates, a description of the Certificates and
the amount and number of Certificates held; and
2. if such
Certificateholder's holding is held via a custodian in Euroclear or
Clearstream on behalf of a Certificateholder, an official custodian
written confirmation of the position held by the custodian on
behalf of the relevant Certificateholder, evidencing full details
of the Euroclear or Clearstream account number, the name of the
Certificateholder, the ISIN number of the Certificates, a
description of the Certificates and amount of Certificates
held.
Unless the context otherwise
requires, capitalised terms used in this Announcement and not
otherwise defined herein have the same meanings given to them in
the Written Resolution.
