SA, informs that its Board of Directors, in its meeting, has ageed to approve
the Merger Agreement of BANCO BILBAO VIZCAYA SA and ARGENTARIA CAJA POSTAL Y
BANCO HIPOTECARIO SA., thus starting a merger process which will be submitted in
due course, for approval of the respective General Shareholders' Meetings.
