                      Changes in Significant Shareholdings

Pursuant to AIM Rule 17, Ballarat Goldfields NL (the "Company") advises the 
following in relation to significant shareholdings:

*         On 25 January 2007, JP Morgan Chase & Co. and its affiliates, a 
Significant Shareholder, notified the Company that its holding of ordinary 
shares ("Shares") had increased from 87,116,260 Shares (7.27%) to 112,982,721 
Shares (8.38%) as a result of on market purchases of Shares at prices between 
AUD0.25 and AUD0.28 per Share between 23 October 2006 and 22 January 2007.

*         On 9 January 2007, the Company became aware that Craton Capital 
held 60,000,000 Shares (4.5%), and is a Significant Shareholder.
