RESULTS OF ANNUAL GENERAL
MEETING ('AGM'): 23 MAY 2024
Henry Boot PLC announces that
following resolutions contained in the Notice of Annual General
Meeting dated 11 April 2024 previously circulated to the Company's
shareholders were passed on a poll at the Company's Annual General
Meeting ('AGM') held today. The total number of votes received on
each resolution was as follows:

A vote withheld is not a vote in law
and is not counted in the calculation of the votes for or against a
resolution.
On 21 May 2024, being the date on
which shareholders had to be on the register in order to be
eligible to vote, there were 133,988,152 Henry Boot PLC ordinary
shares of 10p each in issue and no shares were held in treasury.
Ordinary shareholders are entitled to one vote per share
held.
